Terms & Conditions

These terms govern services provided by FulgentFlow OÜ, a private limited company registered in Estonia, with its registered office at Harju maakond, Tallinn, Kesklinna linnaosa, Tornimäe tn 5, 10145, Estonia.

Services

We provide software development, AI integration, and related digital services across the full product pipeline (idea creation, validation, backend, frontend, deployment, content generation, and distribution). The specific scope, deliverables, timeline, and fees for each engagement are set out in a separate proposal, statement of work, or order confirmation, which forms part of these terms.

Fees and payment

Fees are as agreed per engagement (fixed-price milestone or recurring retainer). Invoices are due as stated on the invoice. Late payments may incur statutory interest under Estonian law.

Intellectual property

Unless otherwise agreed in writing, ownership of custom deliverables transfers to the client upon full payment. We retain rights to pre-existing tools, frameworks, and general know-how used to produce the work. We may reference completed work in our portfolio unless you request otherwise.

Client responsibilities

You agree to provide timely feedback, access, and materials necessary for us to perform the services.

Warranties and liability

Services are provided on a professional-best-effort basis. To the maximum extent permitted by law, our total liability arising from any engagement is limited to the fees paid for that engagement. We are not liable for indirect or consequential losses. Nothing in these terms limits liability that cannot be limited under applicable law.

Confidentiality

Each party will keep the other's confidential information private and use it only to perform the services.

Governing law

These terms are governed by the laws of Estonia. Disputes are subject to the jurisdiction of the Estonian courts, without prejudice to any mandatory consumer rights.
